Terms of Service

1. Acceptance & Parties
These Terms of Service ("Terms") are a binding agreement between IncudoCAD ("IncudoCAD," "we," "us") and the party accessing the Service ("Customer," "you"). By creating an account, calling the API, or otherwise using the Service, Customer accepts these Terms. If accessing the Service on behalf of an organization, Customer represents it has authority to bind that organization.
2. Definitions
- Service: the IncudoCAD APIs, web application, and related products at incudocad.com.
- Customer: the legal person who accesses the Service.
- Service Data: files, parameters, and metadata Customer submits to the Service.
- Output: the artifacts the Service returns (healed mesh, CAD-Native STEP, quality scores, and similar artifacts).
- Standard Tier: default usage-priced access; Service Data may be used for model training and evaluation.
- Enterprise Tier: paid no-training tier; Service Data is not used for model training.
3. The Service
The Service performs mesh healing, format interoperability across STL, OBJ, 3MF, STEP, and IGES (both directions), and mesh-to-CAD-Native STEP conversion. Customer accesses the Service via the API or web UI at incudocad.com. The Service is offered without a contractual uptime SLA on the Standard Tier; Enterprise SLAs are available under a separate order form. Capabilities may change as the Service evolves; documentation is kept current.
4. Accounts & Credentials
Customer is responsible for safeguarding its authentication credentials (API keys and account passwords) and for all activity under its account. Notify legal@incudocad.com promptly of any suspected unauthorized use. We may require reasonable identity verification before granting or restoring access.
5. Acceptable Use
Customer will not, and will not allow any third party to:
- reverse-engineer, decompile, scrape, or attempt to derive the source code or model weights of the Service;
- abuse, circumvent, or stress-test rate limits, or use automated tooling to exceed documented quotas;
- upload Service Data Customer does not have the rights to submit, or that infringes any third party's intellectual property or privacy rights;
- use the Service for any illegal activity or to produce Output intended to facilitate harm;
- resell or sublicense the Service except as expressly permitted in writing;
- use the Service to generate Output for impersonation, non-consensual reconstruction of a person's likeness, weapons or weapons components, or to train, evaluate, or benchmark a product that competes with the Service.
Export controls. Customer warrants that Service Data does not include items or technical data subject to U.S. ITAR (22 CFR 120–130), U.S. EAR above EAR99, or comparable regimes, and is solely responsible for export-control compliance.
6. Customer Data & IP
Customer ownership. As between the parties, Customer retains all rights, title, and interest in and to its Service Data and the Output produced from that Service Data.
License to IncudoCAD. Customer grants IncudoCAD a limited, worldwide, non-exclusive license to host, process, transmit, and display Service Data solely to provide and operate the Service. For Standard Tier Customers, this license additionally permits use of Service Data to evaluate, train, and improve IncudoCAD models; this training license survives termination only to the extent embedded in already-trained model artifacts, and no further use of identifiable Service Data is made after account closure. Service Data submitted under the Enterprise Tier is not used for model training or evaluation. Privacy specifics, including tier mechanics, retention windows, and Customer rights, are set out in the Privacy Policy.
Aggregated data. IncudoCAD may generate and use aggregated, de-identified operational metrics derived from the Service (for example, error rates, throughput, latency, and format distributions) for any lawful purpose. Aggregated data does not include geometric features derived from Enterprise Tier Service Data and does not identify any Customer.
IncudoCAD IP. The Service, including its software, documentation, and trademarks, remains the property of IncudoCAD. Nothing in these Terms transfers ownership of the Service to Customer.
7. Payment & Billing
Paid use is billed on a usage basis through a third-party payment processor. Fees, units of consumption, and any included credits are described in the active pricing page or order form at the time of use. Customer authorizes recurring charges to its selected payment method. Late payments accrue interest at the lower of 1.5% per month or the maximum rate permitted by law. We may suspend or downgrade access after reasonable notice if amounts are more than 15 days past due. Taxes are Customer's responsibility unless we are legally required to collect them.
8. Term & Termination
These Terms apply for as long as Customer accesses the Service. Either party may terminate for convenience on 30 days' written notice; Customer may close its account at any time. IncudoCAD may suspend or terminate access immediately for breach of Section 5 (Acceptable Use), non-payment, or where required to comply with law. Sections that by their nature should survive (definitions, Customer IP, payment obligations, disclaimers, liability, indemnification, governing law) survive termination. Service Data is handled on termination as described in the Data Handling Policy.
9. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, IncudoCAD disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Output is a working engineering artifact; downstream use in CAD, CAM, quoting, manufacturing, or any safety-critical workflow is Customer's responsibility. Customer must validate Output before relying on it.
10. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility. Each party's aggregate liability arising out of or relating to these Terms will not exceed the total fees paid by Customer to IncudoCAD for the Service in the twelve (12) months preceding the event giving rise to the claim. These limits do not apply to a party's indemnification obligations, breach of confidentiality, or liability that cannot be limited under applicable law.
11. Indemnification
By Customer. Customer will defend and indemnify IncudoCAD against third-party claims arising from (a) Customer's breach of Section 5, (b) Service Data Customer was not entitled to submit, or (c) Customer's use of Output in violation of law.
By IncudoCAD. IncudoCAD will defend and indemnify Customer against third-party claims that the Service, as provided and used in accordance with these Terms, infringes that third party's intellectual property rights. IncudoCAD has no obligation under this subsection to the extent a claim arises from (i) Customer's Service Data, (ii) modifications to the Service not made by IncudoCAD, or (iii) use of the Service in combination with materials not provided by IncudoCAD.
The indemnifying party's obligations are conditioned on prompt notice, sole control of defense, and reasonable cooperation by the indemnified party.
12. Changes to These Terms
IncudoCAD may update these Terms from time to time. We will provide reasonable notice of material changes through the Service or by email to the account contact. Continued use after the effective date constitutes acceptance.
13. Assignment
IncudoCAD may assign or transfer its rights and obligations under these Terms to a successor, including in connection with a change in legal form, reorganization, or acquisition; notice of any such change will be posted on this page. Customer may not assign or transfer these Terms, in whole or in part, without IncudoCAD's prior written consent.
14. Governing Law & Venue
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws principles. The competent courts of Tel Aviv-Yafo have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
15. Miscellaneous
Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including infrastructure outages, pandemics, war, civil unrest, or government action.
Severability. If any provision is held unenforceable, the remainder remains in effect and the unenforceable provision is reformed to the minimum extent necessary.
Entire agreement. These Terms together with the Privacy Policy and Data Handling Policy form the entire agreement between the parties on this subject and supersede prior understandings.
No waiver. Failure to enforce any provision does not waive future enforcement.
Notices. Notices to Customer are given by email to the account contact on file. Notices to IncudoCAD are given to legal@incudocad.com.
Headings. Section headings are for convenience only and do not affect interpretation.
